1. Acceptance of Terms
By accessing or using FWD Atrium (“the Service”), operated by FWD Dynamics LLC (“we,” “us,” “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
FWD Atrium provides burn rate tracking, runway calculation, and AI-generated investor update tools for startup founders. Features may change, be added, or be removed at our discretion.
3. Eligibility
You must be at least 18 years old and able to form a binding contract to use this Service. By using the Service, you represent that you meet these requirements.
4. Account Registration
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.
5. Subscription and Payment
Paid plans are billed through Stripe, our third-party payment processor. By subscribing, you authorize recurring charges until you cancel. Prices are as listed at checkout and may change with notice. Promotional codes and discounts are subject to the terms stated at the time they are offered and may be revoked for misuse (e.g. sharing a single-use code).
6. Financial Data and Third-Party Connections
The Service may allow you to connect financial accounts via Plaid or similar providers to enable automatic burn rate tracking. You authorize us to access and process this data solely to provide the Service. We do not initiate transfers, payments, or any money movement through connected accounts.
7. AI-Generated Content
Investor updates and other content generated by AI features are provided as a starting draft. You are solely responsible for reviewing, editing, and approving any content before sending it to investors or any third party. We do not guarantee the accuracy of AI-generated content.
8. Acceptable Use
You agree not to misuse the Service, including but not limited to: attempting unauthorized access, reverse engineering, interfering with the Service’s operation, or using it for unlawful purposes.
9. Intellectual Property
All content, software, and branding associated with the Service, excluding your own uploaded data, remain the property of FWD Dynamics LLC.
10. Disclaimers
The Service is provided “as is” without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free operation.
11. Limitation of Liability
To the maximum extent permitted by law, FWD Dynamics LLC is not liable for indirect, incidental, or consequential damages arising from use of the Service. In all cases, our total liability to you for any claim arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
11a. Dispute Resolution and Arbitration
Any dispute arising from these Terms or the Service shall be resolved through binding arbitration on an individual basis, rather than in court, except that either party may bring an individual claim in small claims court. You waive any right to a jury trial and to participate in a class action, class arbitration, or representative action. Arbitration will be conducted under the rules of the American Arbitration Association.
12. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms. You may cancel your subscription at any time.
13. Refunds
Subscription fees are non-refundable except where required by law. You may cancel at any time to stop future billing; cancellation does not entitle you to a refund for the current billing period.
14. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
15. Changes to Terms
We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance.
